undertaken through Adactia Business Club and Adactia Consulting.
By engaging with Adactia Consulting Ltd, you agree to the terms set out below.
1. Scope of Services
Adactia Consulting Ltd provides structured thinking support and strategic discussion for professionals and founders considering important business decisions.
Work is typically delivered through a defined series of structured conversations over an agreed period. The purpose is to support clarity, disciplined reflection, and well-judged decision-making.
Adactia Consulting Ltd does not provide legal, financial, tax, investment, or other regulated professional advice.
Clients remain responsible for their own decisions and for obtaining specialist advice where appropriate.
2. Nature of Engagement
Engagements are:

Focused and proportionate to the decision at hand

Structured around a clear beginning and end
Where appropriate, written summaries may be provided outlining options, trade-offs, and suggested next questions. These summaries are reflective in nature and do not constitute formal advisory reports. Adactia Consulting Ltd does not act as a director, officer, or decision-maker in any client business.
3. Fees and Payment
Fees are agreed in advance for a defined period of work.
Payment terms will be confirmed before the engagement begins.
Adactia Consulting Ltd does not operate open-ended or indefinite billing arrangements unless
explicitly agreed in writing.
4. Confidentiality
All discussions are treated as confidential.
Information shared during conversations will not be disclosed to third parties without consent, except where required by law.
Clients are responsible for ensuring they do not disclose confidential information that they are not authorised to share.
5. Professional Boundaries
Adactia Consulting Ltd supports structured thinking and decision clarity. It does not:

Provide regulated legal, financial, or tax advice

Guarantee commercial outcomes

Provide investment recommendations

Assume responsibility for business implementation
All implementation decisions remain the responsibility of the client.
6. Limitation of Liability
To the extent permitted by law, the liability of Adactia Consulting Ltd for any claim arising out of an engagement shall be limited to the fees paid for the specific engagement in question.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under applicable law.
7. Governing Law
These terms are governed by the laws of England and Wales.
